The High Court partly allowed the respondents’ claims, invalidating settlement letters and ordering LAD and a refund. The Court of Appeal held the SPA was a commercial contract outside the Housing Development Act, and LAD must follow its terms. Settlement agreements were valid, and breach of instalments did not void them. The High Court erred on the burden of proof for overpayment; lacking evidence, the refund was set aside. The appeal was allowed in part, varying the High Court’s orders. 1
