Case Significance

This High Court decision at Alor Setar concerns a claim to beneficial ownership of land by way of trust, brought against the executors and beneficiaries of a deceased registered proprietor. The plaintiff company sued in respect of a parcel of agricultural land held under H.S.(D) 1/92, PT 2874, Mukim Ayer Puteh, District of Pendang, Kedah, which was registered in the name of the deceased. The plaintiff's case was that the deceased had held the land on trust for the plaintiff and that it formed part of the plaintiff's assets, so that the deceased had wrongfully treated the land as his own and purported to bequeath it to his family by his will. The defendants, as executors and beneficiaries of the estate, resisted the claim, and the dispute fell to be resolved on the balance of probabilities.

Having examined the evidence, the court accepted that a trust had been established. It granted a declaration that the deceased held the said land as trustee for the plaintiff company. It awarded costs of RM8,000 to the plaintiff, payable jointly by the third and fourth defendants, and dismissed all other reliefs claimed.

The court was careful to explain the equitable effect of its declaration. The plaintiff's beneficial ownership of the land was recognised in equity; the legal title remained registered in the name of the deceased, now vested in his executors, who were bound to hold it subject to the trust; and the deceased's will was ineffective in so far as it purported to dispose of the land. The judgment is a useful illustration of how a company may vindicate a beneficial interest against a deceased's estate: the distinction between legal and equitable title is preserved, the registered proprietor's successors take subject to the trust, and a testamentary disposition cannot defeat a beneficial interest that the testator held only as trustee.
