Case Significance
Illustrates how a court unwinds a terminated glove-supply arrangement by tracing and recovering the deposit and commissions from the parties who received them, apportioning liability across the counterclaim defendants while declining to award punitive damages.
This decision of the High Court of Malaya at Shah Alam resolves a commercial dispute arising from an agreement to supply nitrile gloves, together with a counterclaim. In the original action the plaintiff, Asia Victor (M) Sdn Bhd, sought declarations relating to the supply agreement and compensation not exceeding RM2,000,000 for loss and damage, contending among other things that the termination of the agreement was invalid because the agreement contained no cancellation term and that the defendant should be restrained from issuing a statutory winding-up notice. The defendant, Rhythm Agencies Sdn Bhd, counterclaimed against the plaintiff and two further parties — an individual and a third company, Petrobanq Holdings Sdn Bhd — seeking the return of a deposit of RM324,000 paid under the nitrile-glove agreement, which it said had been terminated on account of fraud, together with punitive damages.
After a full trial the court dismissed the plaintiff's claim with costs of RM20,000. On the counterclaim, it found on the balance of probabilities that Rhythm Agencies was entitled to succeed in part: the claim against the individual and against Asia Victor was allowed to the extent of the commission each had received; the claim against Petrobanq Holdings was allowed for the balance of the deposit after deducting the payment made to Asia Victor, with interest at 5% on RM324,000 from the filing of the writ until full settlement, and a penalty of RM32,400 with interest was also ordered. The claim for punitive damages was refused, and a counterclaim brought by the individual first defendant to the counterclaim against the plaintiff was dismissed. All parties, dissatisfied in one respect or another, filed appeals. In reaching these conclusions the court applied the ordinary balance-of-probabilities standard and traced the flow of money between the parties rather than treating the corporate structures as a barrier to recovery. The judgment illustrates how a court unwinds a terminated supply arrangement, recovering deposits and commissions from the parties who actually received them while declining to award punitive damages absent the exceptional conduct such an award requires.
What happened to the plaintiff's claim and the counterclaim?
The court dismissed the plaintiff's claim over the nitrile-glove supply agreement with costs of RM20,000, and allowed the defendant's counterclaim in part. It ordered the recovery of commissions from the individual and from the plaintiff, and recovery of the balance of the RM324,000 deposit from Petrobanq Holdings Sdn Bhd with 5% interest, together with a penalty of RM32,400 and interest, while refusing punitive damages.
How was the deposit dealt with among the parties?
The court traced the RM324,000 deposit, allowing the counterclaim against Petrobanq Holdings Sdn Bhd for the balance after deducting the payment that had been made to Asia Victor, with 5% interest from the filing of the writ to full settlement, and allowing recovery against the individual and Asia Victor to the extent of the commission each had received. The individual's own counterclaim against the plaintiff was dismissed.
